Urgent.ly Inc. (Nasdaq: ULY) ("Urgently"), a U.S.-based leading provider of digital roadside and mobility assistance technology and services, today reported financial results for the fourth quarter and year ended December 31, 2025.

Urgently also announced today that is has entered into a definitive merger agreement to be acquired by Agero, Inc. ("Agero"). In light of the announced transaction with Agero, Urgently will not host an earnings conference call. In addition, Urgently will not provide guidance for the first quarter 2026 or the full year 2026 as a result of the pending transaction.
