Ormat Technologies, Inc. (NYSE: ORA) ("Company" or "Ormat") announced today its intention to offer $600 million aggregate principal amount of Series A Convertible Senior Notes due 2031 (the "Series A Notes") and $150 million aggregate principal amount of Series B Convertible Senior Notes due 2031 (the "Series B Notes" and, together with the Series A Notes, the "Notes") in private offerings to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), subject to market conditions and other factors. The Company also expects to grant to the initial purchasers options to purchase, in each case within a 13-day period beginning on, and including, the date on which the Notes are first issued, up to an additional $90 million aggregate principal amount and $22.5 million aggregate principal amount of Series A Notes and Series B Notes, respectively.
