Flag Ship Acquisition Corporation (Nasdaq: FSHP) (the "Company") announced that it received a second notification letter from the Listing Qualifications Department of the Nasdaq Stock Market ("Nasdaq") on May 21, 2026 (the "Notice") indicating that the Company is not in compliance with Nasdaq Listing Rule 5250(c)(1) as a result of its failure to timely file its periodic report on Form 10-Q for the quarter ended March 31, 2026 (the "Form 10-Q") with the Securities and Exchange Commission. As previously announced on April 22, 2026, the Company received a notification letter from the Nasdaq Listing Qualifications Department on April 17, 2026 (the "Initial Notice") as a result of its failure to timely file its Annual Report on Form 10-K for the fiscal year ended December 31, 2025 (the "Form 10-K").
