Mobix Labs Inc. (NASDAQ:MOBX) stock is down on Friday after announcing the signing of a definitive agreement to acquire Montana-based Vision Aerial Inc., expanding into U.S.-built drones and aerial intelligence.

Deal Terms
The $15 million cash-and-stock transaction is expected to close this quarter, subject to financing, stockholder approval and other customary conditions.
U.S.-Built Drone Expansion
Vision Aerial manufactures NDAA-compliant unmanned aerial systems for national security, government, energy, public safety and critical infrastructure markets.
Its customers and end-users include the U.S. Air Force, U.S. Navy, government agencies, utilities and energy operators.
The drones support infrastructure inspection, energy operations, search-and-rescue, wildfire response and advanced aerial sensing.
Aerial Intelligence Strategy
Mobix Labs plans to combine Vision Aerial’s drone platforms with its RF, sensing, communications and defense-electronics technologies.
The deal advances Mobix Labs’ National Security Matters Initiative and expands its exposure to drones, autonomous aerial systems and aerial intelligence.
Upon closing, Mobix Labs expects to retain Vision Aerial’s key leadership and U.S.-based manufacturing operations.
Management Commentary
"This definitive agreement is a significant milestone for Mobix Labs and our National Security Matters Initiative," CEO Phil Sansone said. "This transaction moves us closer to closing an acquisition that can accelerate our entry into global drone and aerial intelligence markets."
Mobix Labs reported $2.563 million in cash as of March 31, 2026, according to its Form 10-Q filed with the SEC.
