Key Details of the All-Stock QMAX Acquisition
Under the terms of the agreement, Nocera issued 300,000 shares of restricted common stock to QMAX’s registered holder, Chien-Hua Tseng. Valued at $1.36 per share based on July 27 closing prices, the transaction represents an aggregate purchase price of $408,000 with no cash consideration paid. The 30% controlling stake is held through a variable interest entity structure effective July 28.
The strategic deal gives Nocera direct access to supply chain channels for its AI infrastructure and data center expansion plans. Nocera management emphasized that locking in component supply and distribution qualifications serves as a key milestone in its broader transformation into a diversified technology holding company.

NCRA Price Action: Nocera shares were up 136.56% at $3.37 at the time of publication on Wednesday. The stock is trading near its 52-week low of $1.30, according to Benzinga Pro data.
