Fulcrum Therapeutics Inc. (NASDAQ:FULC) and Slate Medicines Inc. announced Monday that they have agreed to merge in an all-stock transaction. The combined company will focus on developing next-generation migraine treatments.
The company will operate as Slate Medicines and is expected to trade on Nasdaq under the ticker SLTE after the deal closes.
$245 Million Financing Backs Pipeline
Slate also secured commitments for an oversubscribed $245 million private placement led by Frazier Life Sciences. Investors include Forbion, RA Capital Management, Deep Track Capital, Foresite Capital, OrbiMed, RTW Investments and Mingxin Capital.
Slate’s lead candidate, SLTE-1009, is a subcutaneous monoclonal antibody that targets PACAP and VIP, two neuropeptides linked to migraine.
The combined company expects its cash at closing to fund operations into 2029. The funding will support SLTE-1009 through a Phase 1 study in healthy volunteers and a Phase 2 dose-ranging study in migraine patients, while also advancing Slate’s broader pipeline.
Slate expects initial pharmacokinetic and safety data in mid-2027.
It is also developing SLTE-2100, a bispecific antibody targeting PACAP/VIP and CGRP. That program could enter clinical trials in the second half of 2027.
Fulcrum Stockholders Set For Cash Dividend
Under the agreement, existing Fulcrum stockholders are expected to own 5% of the combined company, while Slate stockholders, including financing investors, are expected to own the remaining 95%.
Fulcrum expects to contribute about $20.3 million in net cash. It also expects to pay an estimated $270 million cash dividend to its stockholders immediately before closing.
Both boards unanimously approved the transaction. The companies expect to close the merger in the fourth quarter of 2026, subject to stockholder and regulatory approvals and other customary closing conditions.
Slate CEO Gregory Oakes will lead the combined company as CEO.
Wedbush Securities and Cooley are advising Slate. Leerink Partners and Goodwin Procter are advising Fulcrum.
FULC Stock Price Activity: Fulcrum Therapeutics shares were up 1.34% at $3.790 at the time of publication on Monday, according to Benzinga Pro data.
