BioMarin Pharmaceutical Inc. (NASDAQ:BMRN) on Tuesday agreed to purchase Alesta Therapeutics, strategically securing its primary clinical-stage asset, ALE1.

The acquisition aims to significantly bolster BioMarin’s portfolio with a potential first-in-class oral treatment for a rare genetic bone disorder.

Financial Terms And Strategic Spin-Out

BioMarin will provide a $275 million initial cash payment to Alesta shareholders. The agreement also includes the potential for an additional $215 million tied to future regulatory and development milestones. BioMarin plans to fully finance the acquisition using its existing cash reserves.

Before the deal finalizes later this quarter, Alesta will transition all of its non-ALE1 assets and current employees into a newly formed spin-out entity.

BioMarin anticipates issuing revised full-year 2026 financial guidance upon closing, noting that the purchase will have a modestly dilutive effect on the year’s results, excluding the upfront payment.

Targeting Rare Genetic Bone Diseases

ALE1 is currently under evaluation as an orally administered small molecule therapy for hypophosphatasia (HPP), a rare condition stemming from mutations in the ALPL gene.

An ongoing Phase 1/2a trial is testing the safety, tolerability, and pharmacodynamics of the drug in healthy subjects, as well as HPP adult patients.

The disease severely impacts bone and dental mineralization.

Analyst Sees Long-Term Value In ALE1

William Blair resumed coverage of BioMarin with a Market Perform rating, noting that ALE1 is a logical addition to BioMarin and believes the asset could create meaningful long-term value for the company.

Analyst Sami Corwin highlights that AstraZeneca Plc’s (NYSE:AZN) Strensiq generated about $1.7 billion of revenue in 2025 as the only approved HPP therapy.

Analyst Corwin writes that while Strensiq is an injectable enzyme-replacement therapy that replaces deficient tissue-nonspecific alkaline phosphatase, ALE1 is designed to lower excess inorganic pyrophosphate.

If successful, the combination of oral administration and differentiated biology could position ALE1 favorably within the treatment landscape.

BMRN Stock Price Activity: BioMarin Pharmaceutical shares were up 1.65% at $67.73 at the time of publication on Tuesday, according to Benzinga Pro data.
