BKV Corporation ("BKV" or the "Company") (NYSE:BKV) today announced the Form S-3 resale registration statement filed with the U.S. Securities and Exchange Commission on August 20, 2026, covering 5,315,390 shares of BKV common stock held by Banpu Power US Corporation ("BPPUS"), a wholly owned subsidiary of Banpu Public Company Limited ("Banpu"), the ultimate parent company of BKV and BKV’s majority stockholder, Banpu North America Corporation.

The registration statement fulfills BKV’s previously disclosed contractual obligations under the Registration Rights Agreement entered into with BPPUS in connection with BKV’s acquisition of an additional 25% interest in BKV-BPP Power LLC on January 30, 2026. As consideration for the transaction, BPPUS received approximately $115.1 million in cash and 5,315,390 shares of BKV common stock. Those shares were subject to a 180-day lock-up period following the closing of the transaction.

The Form S-3 became effective automatically upon filing, registers the 5,315,390 shares of BKV common stock issued to BPPUS for potential resale, and provides BPPUS the ability to sell registered shares from time to time. However, the shares of common stock registered pursuant to the registration statement are not required to be sold, and the filing does not necessarily indicate that any stockholder intends to sell its shares of common stock. BKV is not offering or selling any shares pursuant to the registration statement and will not receive any proceeds from any future sale of the shares held BPPUS.
