Navitas Semiconductor Corp (NASDAQ:NVTS) shares rose in Tuesday premarket trading after the company announced a definitive agreement to acquire Claros, Inc. for up to approximately $232.8 million, expanding its AI data-center power portfolio.

Navitas Expands AI Power Portfolio

The acquisition would add Claros’ vertical power delivery, or VPD, and integrated voltage regulator, or IVR, technologies to Navitas’ GaN and high-voltage silicon carbide portfolio.

Navitas said the combination would extend its AI infrastructure offering across the power chain from the grid to processors, including GPUs, CPUs and other AI accelerators.

The company expects the transaction to more than double its identified 2030 serviceable addressable market to over $8 billion.

Claros’ VPD and IVR markets would add at least $3.5 billion to that opportunity. Claros, founded in 2024, develops power-management hardware and software for AI infrastructure.

Deal Includes Cash And Stock

Navitas will pay approximately $216 million at closing through a combination of cash and Class A common shares.

The company will pay the remaining consideration in shares if Claros achieves certain business milestones during the two years following closing.

Certain continuing Claros employees could separately receive approximately $28.9 million in performance-based stock compensation tied to the same milestones.

Both companies’ boards unanimously approved the transaction. Navitas expects the deal to close before year-end, subject to customary closing conditions and regulatory approvals.

Navitas held cash and cash equivalents of $557.4 million as of June 30, 2026.

Growth Outlook Remains Unchanged

Navitas said its short- to mid-term financial model under the Navitas 2.0 transformation remains unchanged.

The company expects Claros’ technology to provide an additional growth accelerator from 2028 or 2029 onward.

Navitas said the acquisition could support revenue acceleration and margin expansion while leaving its profitability timeline unchanged.

“The future of AI depends on delivering thousands of amps to increasingly power-hungry processors with unprecedented speed and precision,” Navitas President and CEO Chris Allexandre said.

NVTS Price Action: Navitas Semiconductor shares were up 6.46% at $13.02 during premarket trading on Tuesday, according to Benzinga Pro data.
