Snowflake Inc. (NYSE:SNOW) shares are trading lower on Monday after the company plans to offer a new convertible notes deal, and risk appetite is softer with S&P 500 futures down 0.3%.
The move looks tied to financing-related dilution/overhang concerns that often show up when converts are announced.

Plans Convertible Notes Offering
The company plans to privately offer $1.3 billion of 0.00% Convertible Senior Notes due 2029 and $2.2 billion of 0.00% Convertible Senior Notes due 2031 to qualified institutional buyers, subject to market conditions.
Initial purchasers will also have a 13-day option to acquire an additional $200 million of 2029 notes and $300 million of 2031 notes.
The unsecured notes will carry no regular interest or principal accretion. The 2029 notes mature Oct. 15, 2029, and the 2031 notes mature Oct. 15, 2031, unless converted, redeemed or repurchased earlier.
The company plans to use proceeds for capped call transactions, repurchases of its 0.00% convertible notes due 2027 and general corporate purposes, including potential stock or note repurchases, acquisitions and strategic investments. If the additional notes are issued, part of the proceeds will fund related capped calls, with the remainder available for general corporate purposes.
