Mattel Inc. (NASDAQ:MAT) is reportedly facing growing shareholder pressure to explore a potential sale as investors question the toy maker’s valuation and stalled progress.

Ariel Investments Pushes Mattel to Explore Strategic Alternatives

Ariel Investments, which owns a 5.4% stake in Mattel, urged the company’s board to consider strategic alternatives, including divestiture of significant assets, a merger and/or a sale, according to Reuters.

“By our estimates, a strategic buyer would pay a significant premium to your current ​share price,” said Ariel’s Co-CEO John Rogers in a letter sent to Mattel’s board of directors.

The asset manager considers other toy players, entertainment companies and traditional private equity firms as potential buyers.

The news follows a similar suggestion raised in May by investor Southeastern Asset Management, which called on the company to explore options, including going private or being acquired by rival Hasbro, Inc. (NASDAQ:HAS) or a large media company, to achieve a better valuation.

Mattel’s management said it remains focused on shareholders’ best interests and will consider Ariel’s views alongside feedback from other investors.

M&A Speculation Intensifies

M&A speculation for the company has intensified following last week’s report that Authentic Brands Group has reportedly held private discussions about acquiring Mattel in a deal valuing the company at $6 billion or more.

Mattel stock surged more than 18% in the session on Oct. 1 following the news of the premium being offered. The discussions remain preliminary, and no formal offer has been announced.

Mattel Names Roger Lynch CEO As Ynon Kreiz Steps Down

Mattel said Sept. 30 that it appointed board member Roger Lynch as chairman and CEO, succeeding Ynon Kreiz. Lynch became chairman Oct. 2 and is set to take over as CEO on or before Nov. 2.

Kreiz stepped down as chairman and CEO on Oct. 2 to become co-CEO of Paramount Skydance Corp. (NASDAQ:PSKY), where he is expected to help lead the combined company, to be named Skydance, following the anticipated close of Paramount’s acquisition of Warner Bros. Discovery Inc. (NASDAQ:WBD).

Earnings and Analyst Outlook

Mattel’s next major scheduled catalyst is its estimated Oct. 20 earnings report.

Wall Street expects EPS of 98 cents, up from 89 cents a year earlier, on revenue of $1.84 billion versus $1.74 billion in the prior-year period.

Mattel trades at a price-to-earnings ratio of about 12.0 times.

The stock carries a Hold consensus rating with an average analyst price forecast of $15.83.

Recent analyst actions include Argus Research maintaining Buy with a $22 forecast on Aug. 25, Roth Capital maintaining Neutral while lowering its forecast to $15 on July 14, and Citigroup maintaining Neutral while cutting its forecast to $15 on July 10.

MAT Price Action: Mattel shares were down 0.56% at $15.96 during premarket trading on Tuesday, according to Benzinga Pro data.
