RenX Enterprises Corp. (NASDAQ:RENX) shares fell 6.94% to $1.61 in after-hours trading Thursday after RenX Enterprises filed a registration statement to register the resale of up to 24.28 million shares of common stock by selling stockholders.
RenX Enterprises operates in compost sales, logistics and real estate through its subsidiaries.
The Resale Registration
According to a Form S-3 filing, the shares include up to 9.09 million shares issuable upon conversion of outstanding first senior convertible notes, up to 11.66 million shares issuable upon conversion of second notes, and up to 3.52 million shares issuable upon exercise of second warrants.
The notes and warrants were issued to selling stockholders in a private placement under a securities purchase agreement dated April 30, 2026. The company said it will not receive proceeds from the resale, although it could receive proceeds if the second warrants are exercised for cash.
The 24.28 million shares represent approximately 699% of the 3.47 million shares of common stock outstanding as of October 5, 2026. The filing states that issuing these shares "could cause substantial dilution" to existing stockholders.
Conversion Terms
The notes are convertible at an alternate conversion price equal to the greater of a floor price of $0.534 per share and 92% of the lowest volume-weighted average price in the ten trading days before conversion. From Sept. 25 to Oct. 1, certain selling stockholders converted first notes with a principal amount of $1.1 million, plus accrued interest of $44,000, into 773,236 shares at $1.4795 per share. As of Oct. 5, first notes with a principal amount of $5.2 million remained outstanding.
The company also disclosed a Nasdaq rule change that would require a minimum market value of listed securities of $5 million. The filing said the market value of the company’s listed securities was approximately $5.0 million as of Oct. 5, and that implementation of the rule is currently stayed.

Over the past year, RenX Enterprises shares have fallen 93.35%.
The stock has traded between a 52-week high of $7.00 and a 52-week low of $1.40.
