Certain Affiliates Of Blue Owl Real Estate Capital To Acquire All Outstanding Shares Of Common Stock Of Sila Realty Trust For $30.38 Per Share In All-Cash Transaction Valued At ~$2.4B

Sila Realty Trust, Inc. (NYSE:SILA) ("Sila", the "Company") and certain affiliates of Blue Owl Capital Inc. (NYSE:OWL) ("Blue Owl") today announced that Sila has entered into a definitive merger agreement pursuant to which certain affiliates of Blue Owl Real Estate Capital LLC will acquire all outstanding shares of common stock of Sila Realty Trust, Inc. for $30.38 per share in an all-cash transaction valued at approximately $2.4 billion.

The purchase price represents a 19.0% premium to Sila's closing stock price of $25.53 on April 17, 2026, the last full trading day prior to the transaction announcement and a 25.6% premium to the 30-trading day volume-weighted average price.
