$3 Million Private Placement Pricing Details
Friday’s move follows an announcement that Tenon entered into a securities purchase agreement on August 27 with an institutional investor to raise approximately $3.0 million in gross proceeds.
The private placement consists of 597,610 shares of common stock (or pre-funded warrants in lieu thereof) alongside accompanying ordinary warrants to purchase up to an aggregate 1,058,517 common shares.
The combined effective offering price was set at $5.02 per share and accompanying warrant unit, with the accompanying warrants carrying an exercise price of $5.02 per share and expiring in five years.
The transaction is scheduled to close on or about Aug. 31, to provide fresh growth capital for commercial operations.
Strong Q2 Unit Economics and Case Volume Growth Underpin Buying Demand
The capital raise builds on underlying operational momentum highlighted in Tenon’s second-quarter financial update posted on Aug. 13, where revenue surged 127% year-over-year to a second-quarter record $1.3 million, and gross margins expanded to 64%.
Driver adoption has accelerated following FDA 510(k) clearance for the updated Catamaran SI Joint Fusion System, alongside a 98% increase in physician training events that drove record surgical case volume in July.
While ongoing net losses continue to place demands on the balance sheet, the additional capital runway and recent corporate actions have helped remove immediate Nasdaq listing risks and fuel speculative buying interest.
