CoreWeave, Inc. (NASDAQ:CRWV) shares are trading higher on Friday. The company disclosed the pricing of an upsized private offering of $3.7 billion aggregate principal amount of 2.875% convertible senior notes due 2033.
The private offering is raised from the previously announced $3.0 billion offering.
The initial purchasers will have the option to purchase up to an additional $500 million in notes within 13 days of the initial issuance date.
The notes will be fully and unconditionally guaranteed by CoreWeave subsidiaries that guarantee its existing senior and convertible notes.
They will carry 2.875% annual interest, payable semiannually in cash on April 1 and Oct. 1, starting April 1, 2027, and mature April 1, 2033, unless earlier repurchased, redeemed or converted.
The sale is expected to settle Sept. 22, 2026, subject to customary closing conditions.
At The Market Offering
On Thursday, the company established an at-the-market stock offering program that could allow the artificial intelligence cloud company to sell up to 35 million Class A shares.
The financing move comes as CoreWeave reports stronger pricing for new compute capacity and billions of dollars in additional customer commitments.
