Jaguar Health Inc. (NASDAQ:JAGX) shares are sliding Thursday afternoon as equity dilution concerns weigh on the micro-cap biopharmaceutical company following a debt-for-equity exchange.

Debt Conversion and Shareholder Dilution Mechanics

According to a Form 8-K filed with the SEC on Thursday (effective Wednesday), Jaguar Health executed a privately negotiated exchange agreement with institutional lender Streeterville Capital LLC.

Under the agreement, Jaguar partitioned a portion of a secured promissory note originally executed on November 12, 2025. In exchange for reducing the note’s outstanding balance by $5,049,909.26, the company issued 547,898 new shares of common stock to Streeterville.

As disclosed in the filing, Jaguar had approximately 1,281,867 shares of common stock issued and outstanding as of September 23. Adding 547,898 new shares represents an immediate 42.7% expansion of the pre-transaction share count, triggering sharp downside price pressure as the market absorbs substantial per-share equity dilution.

Lender Resale Provisions and Capital Structure Context

The debt-swap shares were issued in reliance on Section 3(a)(9) of the Securities Act of 1933 without restrictive legends, permitting the lender to liquidate the position in the open market once cleared by brokerage compliance.

While extinguishing nearly half of the original $10.81 million principal note reduces ongoing debt service burdens and relieves immediate balance sheet stress, the potential influx of newly tradable float creates a severe supply overhang.

The dilutive restructuring highlights ongoing liquidity constraints as Jaguar seeks to preserve cash while supporting commercial operations for its FDA-approved crofelemer drug (Mytesi) and advancing clinical development across cancer therapy-related diarrhea indications.
