Jaguar Health Inc. (NASDAQ:JAGX) shares are surging Friday morning, reversing Thursday’s dilution-driven sell-off after the company announced additional debt-for-equity exchanges that reduced its outstanding debt by over $6.7 million and successfully retired a major promissory note.

Full Retirement of the 2025 Promissory Note
The sharp rebound follows an announcement on Friday that Jaguar executed further exchange agreements to completely extinguish its secured promissory note originally issued to Streeterville Capital on November 12, 2025. Building upon the $5.05 million debt reduction disclosed the prior day, these latest transactions pushed the total debt elimination past the $6.7 million mark, fully retiring the obligation.
While debt-for-equity swaps inherently dilute existing common shareholders, a reality that drove the stock significantly lower on Thursday, Friday’s price action reflects market optimism.
This immediate liquidity relief is critical for the micro-cap biopharmaceutical firm as it manages cash burn to support the ongoing commercialization of Mytesi (crofelemer), its FDA-approved treatment for non-infectious diarrhea in adults with HIV/AIDS on antiretroviral therapy.
Furthermore, the cleaner capital structure provides management with enhanced financial flexibility as they continue to fund targeted clinical trials for crofelemer across new indications, specifically focusing on cancer therapy-related diarrhea and rare disease applications.
